Companies Act to change

Major changes have been made to the Companies Act after a long-awaited review. Focusing mainly on deregulation, the updates will come into force in phases until October 2008. Some of the changes are significantly different from previous provisions in the Act, whereas others represent minor updates.

One of the smaller amendments to the Act is the requirement for all registered companies to include statutory information such as the company’s registered name, the company’s registered address and the company’s registration number on all electronic communication – i.e. websites, emails and electronic documents. (In the current Act it is only compulsory to include this information in official printed business documentation.) This change comes into effect on 31 December 2006.

The statutory information can be displayed anywhere, such as on the front page of the company website, on a footer at the bottom of every page or on a particular page such as ‘company information’ or ‘about us’. On emails, the policy likely to be chosen by most companies is to display the information in an automatic footnote added to the bottom of all emails.
